Welcome to Pactable. These Terms of Service (“Terms”) govern your access to and use of the Pactable mobile application, website, and related services (collectively, the “Platform”) operated by Pactable (“we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Overview of the Platform
Pactable is a voice-first platform that enables individuals to create, send, review, and accept personal agreements through an AI-powered conversational interface. The Platform facilitates the creation of structured agreement documents, identity verification, and electronic signature workflows between two or more parties.
2. Eligibility
You must be at least 18 years of age to use Pactable. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements in your jurisdiction. If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Creation and Security
Pactable uses a progressive identity model. You may begin using the Platform without creating an account. When you create or send an agreement, you will be prompted to verify your identity through biometric authentication (such as Face ID) and confirm your phone number via a one-time verification code sent by SMS.
You are responsible for maintaining the security of your device and any credentials associated with your account. You agree to notify us immediately if you become aware of any unauthorized use of your account. Pactable is not liable for any loss arising from unauthorized access to your account that results from your failure to safeguard your device or credentials.
4. How Pactable Works
4.1 Agreement Creation
Agreements are created through natural language conversation with an AI assistant. The AI structures your spoken or typed input into formatted agreement terms. You are solely responsible for reviewing and confirming the accuracy of all agreement terms before sending. The AI is a tool that assists with drafting — it does not provide legal advice.
4.2 Sending and Acceptance
When you send an agreement, the counterparty receives a notification (via SMS or RCS) with a secure link to review the terms. The counterparty may accept, decline, or suggest changes to the agreement. An agreement becomes binding when both parties have verified their identities and the counterparty has accepted the terms.
4.3 Electronic Signatures and E-SIGN Act Compliance
By using Pactable to create or accept agreements, you consent to conducting business electronically in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws. Biometric verification (Face ID or equivalent) serves as your electronic signature. Each agreement includes an audit trail documenting the identity verification method, timestamps, and device information for both parties.
Important: Pactable facilitates the creation and execution of agreements between parties. We do not guarantee the enforceability of any specific agreement. The enforceability of an agreement depends on the applicable laws in your jurisdiction and the specific terms of the agreement. We strongly recommend consulting with a licensed attorney for agreements involving significant financial obligations or complex legal matters.
5. Communications and Messaging
By using Pactable, you consent to receive transactional SMS and RCS messages related to your agreements, including agreement delivery notifications, verification codes, acceptance or decline notifications, and payment reminders. These messages are triggered by actions you or your counterparty take within the Platform.
You may opt out of non-essential messages at any time by replying STOP to any message. Opting out of messaging does not affect the validity of any agreements you have entered into. Standard message and data rates may apply.
We will not send marketing or promotional messages without your separate, explicit consent.
6. User Conduct
You agree not to use the Platform to:
- Create agreements that are fraudulent, deceptive, or intended to harm another party
- Impersonate another person or misrepresent your identity
- Send unsolicited or harassing messages through the Platform
- Create agreements for illegal purposes or involving illegal subject matter
- Attempt to reverse-engineer, disassemble, or interfere with the Platform’s systems or security
- Use the Platform in any manner that violates applicable local, state, national, or international law
- Abuse the reminder function to harass counterparties
We reserve the right to suspend or terminate your access to the Platform if we determine, in our sole discretion, that you have violated these Terms.
7. Intellectual Property
The Pactable name, logo, visual design, AI assistant, and all associated software, content, and technology are the exclusive property of Pactable and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Platform without our prior written consent.
You retain ownership of the content you provide through the Platform, including agreement terms and personal information. By using the Platform, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Platform’s services.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to our collection and use of information as described in the Privacy Policy.
9. Disclaimers
9.1 No Legal Advice
Pactable is not a law firm and does not provide legal advice. The AI assistant helps structure agreement terms based on your input, but it does not evaluate the legal sufficiency, enforceability, or appropriateness of any agreement. You should consult a licensed attorney for legal advice.
9.2 Platform Availability
The Platform is provided on an “as is” and “as available” basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Platform at any time without notice.
9.3 Agreement Outcomes
Pactable is a tool that facilitates agreement creation and execution. We are not a party to any agreement created on the Platform and bear no responsibility for the performance, breach, or enforcement of any agreement. Disputes between parties to an agreement are between those parties.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Pactable and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, regardless of the theory of liability.
Our total cumulative liability for all claims arising from or related to the Platform shall not exceed the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Pactable and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Platform, (b) any agreement you create or accept through the Platform, (c) your violation of these Terms, or (d) your violation of any rights of another party.
12. Dispute Resolution
Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Contra Costa County, California. You agree to waive any right to a jury trial or to participate in a class action.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
13. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the “Effective Date” above. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
14. Termination
You may stop using the Platform at any time. We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Agreements that were fully executed prior to termination remain valid and accessible.
15. General Provisions
These Terms constitute the entire agreement between you and Pactable regarding your use of the Platform. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
